Practice focuses on corporate and commercial transactions, healthcare law, and litigation strategy and support. Counsels clients in a variety of industries in the areas of mergers and acquisitions, the formation and dissolution of corporations and limited liability companies, joint ventures and other strategic alliances, covenants not to compete, general corporate advice, employment law, managed care, medical staff credentialing and corrective actions, and governance.

Representative Cases/Experience

Formed the WellStar Health System (formerly known as the Northwest Georgia Health System) in 1993 and served as counsel for the system, either as outside counsel or General Counsel since that time. The System includes 5 hospitals, hospice, homecare, long term acute care and a captive insurance company.
Formed the Northwest Georgia Health System Foundation, Inc., a tax-exempt organization, which created the WellStar Medical Group, currently a multi-specialty clinic consisting of more than 350 physicians and 100 mid-level providers. Represented the Medical Group not only in its formation, but in its development through physician practice acquisitions and recruitment.
Advised senior management of WellStar and other healthcare providers on the full range of legal issues which arise in the operation of a healthcare organization, including STARK, fraud and abuse, Joint Commission, HIPAA and state laws, regulations and licensure.
Served as a member of the Board of Directors of Community Assurance Corporation, an $80M captive insurance company. Had responsibility for the insurance program and litigation strategy involving business, employment and medical matters.
Developed a legal structure for an electrical cooperative to diversify its service offerings in a creative and innovative way.
Successfully defended a medical staff credentialing case brought by a neurosurgeon.
Defense verdict in a medical staff exclusive contract case.
Defense verdict in the attempt to enforce a covenant not to compete.
